Arabian Cement’s Bahraini unit restructures Jordan share swap agreement

Arabian Cement Company disclosed a restructuring of the share swap agreement involving its subsidiary, Arabian Cement Bahrain Holding Company, regarding its investments in Jordan.
Under the revised terms, the subsidiary will sell 7.30 million shares in Ready Mix Concrete and Construction Supplies to Al Hijaz Cement for SAR 50.30 million, priced at 1.3 Jordanian Dinars per share.
Simultaneously, the Bahraini unit will acquire 6.24 million shares in Qatrana Cement from Ready Mix Concrete and Construction Supplies for SAR 33.10 million, at a price of 1 Jordanian Dinar per share.
To finalize the exit from Ready Mix Concrete and Construction Supplies, the subsidiary will swap its remaining 1.85 million shares in that firm with Al Rawsha Investment and Trade in exchange for 2.27 million shares in Qatrana Cement.
The company stated that the financial impact will be announced upon completion of the transaction.
Arabian Cement confirmed that the final expected outcome of the deal remains consistent with the original agreement announced on 29 December 2025.
At the end of March 2026, the Tadawul-listed group logged 153.81% higher net profits at SAR 59.90 million, compared to SAR 23.60 million in the first quarter (Q1) of 2025.
